Terms of Service

These Terms of Service ("Terms") govern your access to and use of BooksDash, a software-as-a-service platform operated by DashPoint Analytics, LLC ("DashPoint," "we," "us," or "our"). By creating an account or using BooksDash, you agree to be bound by these Terms.

1. Service Description

BooksDash is a cloud-based analytics platform that connects to your QuickBooks Online account to sync financial data and generate interactive Power BI dashboards. The service includes:

• OAuth-based integration with QuickBooks Online
• Automated extraction, transformation, and loading (ETL) of financial data
• Storage of synced data in Microsoft Fabric
• Power BI analytics dashboards with embedded reporting
• Multi-tenant data isolation and row-level security

2. Account Registration

To use BooksDash, you must create an account through our authentication provider (Auth0). You agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials.
• Notify us immediately of any unauthorized use of your account.
• Accept responsibility for all activity that occurs under your account.

You must be at least 18 years old and have the legal authority to bind the business entity you represent.

3. QuickBooks Authorization

By connecting your QuickBooks Online account, you:

• Authorize BooksDash to access and sync the financial data you approve through Intuit's OAuth consent flow.
• Confirm that you have the authority to grant this access for the QuickBooks company you connect.
• Understand that you can revoke access at any time through your QuickBooks account settings or BooksDash settings.

4. Acceptable Use

You agree not to:

• Use the service for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to other users' data or our systems.
• Reverse engineer, decompile, or disassemble any part of the service.
• Use automated scripts or bots to access the service in a manner that exceeds reasonable use.
• Resell or redistribute access to the service without our written consent.
• Upload malicious code or attempt to disrupt the service.

5. Data Ownership

Your Data

You retain all ownership rights to your QuickBooks financial data and any other data you provide to BooksDash. We do not claim ownership of your data.

License to Us

You grant DashPoint a limited, non-exclusive license to access, process, store, and display your data solely for the purpose of providing the BooksDash service to you. This license terminates when you delete your account.

Our Property

The BooksDash platform, including its software, design, documentation, dashboards, and analytics features, is the property of DashPoint Analytics, LLC and is protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except as needed to use the service.

6. Subscriptions and Payment

• Billing: Paid subscriptions are billed in advance on a monthly or annual basis through Stripe.
• Free tier: We may offer a free tier with limited functionality. Free tier availability and features may change at any time.
• Upgrades and downgrades: You may change your subscription tier at any time. Changes take effect at the next billing cycle.
• Refunds: Subscription fees are non-refundable except as required by applicable law or at our sole discretion.
• Taxes: You are responsible for any applicable taxes on your subscription.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide reasonable advance notice when possible).
• Unplanned outages or technical issues.
• Third-party service disruptions (QuickBooks API, Microsoft Azure, Auth0, Stripe).

We are not liable for any loss or damage resulting from service interruptions.

8. Data Security

We implement industry-standard security measures to protect your data, including encryption in transit and at rest, secure credential management via Azure Key Vault, and tenant data isolation. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

9. Limitation of Liability

To the maximum extent permitted by law:

• BooksDash is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We do not warrant that the service will be error-free, accurate, or uninterrupted.
• We are not responsible for the accuracy or completeness of data synced from QuickBooks.
• In no event shall DashPoint Analytics, LLC be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue.
• Our total liability for any claim arising from these Terms or the service shall not exceed the amount you paid us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless DashPoint Analytics, LLC, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the service, violation of these Terms, or infringement of any third-party rights.

11. Termination

• By you: You may cancel your account at any time. Upon cancellation, your access to the service will continue until the end of your current billing period.
• By us: We may suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or if we discontinue the service with reasonable notice.
• Effect of termination: Upon termination, we will delete your synced QuickBooks data within 30 days. You may request a data export before cancellation.

12. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the "Effective Date" and, where appropriate, by email. Continued use of BooksDash after changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you should stop using the service and cancel your account.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.

14. General Provisions

• Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and DashPoint Analytics, LLC regarding BooksDash.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.
• Waiver: Our failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
